We ask for all 2022 members to attend our special January meeting via Zoom, or designate a proxy by emailing us.
At our Annual General Meeting on December 7th, we discussed the viability of the club’s future in its current format. It was agreed that there are two key limitations at present:
1) financial viability is limited given the increased running costs and declining membership over time, and
2) the responsibility and commitment required to run a formal structure makes it challenging to find individuals who can take this on.
It is proposed that the club changes its direction by dissolving the current formal structure, but that all members make a concerted effort to stay connected via Facebook, email, and other means to invite people to join informal/spontaneous outings, share their work, and provide constructive feedback. The group is motivated to continue, and this can be regarded less as a negative reflection on ending the current formal model and more as a positive commitment to sharing as much as we can, and possibly broadening our reach. We have many skilled and passionate local photographers so let’s capitalize on the energy and enjoy our shared creativity.
In order for this to move forward, we need your help in supporting a Special Resolution that will allow us to dissolve the club and regroup in this new model. The Special Resolution calls for the club to no longer be a formal organization in the Registry of Joint Stocks, and we would no longer have our regular in-person meetings and dues.
The Special Resolution needs to be passed by not less than three-fourths of the members of the society entitled to vote present at the meeting or by proxy at a General Meeting of the members of the society, to be held via Zoom on 11th January 2023 at 7pm.
If you are unable to participate in the Zoom meeting on this date, please notify the Executive or any other club member of your proxy vote by email in advance of the meeting. It is critical that we receive your votes in order to determine the club’s future so we ask you to please participate in the voting process.
Special Resolution:
Surrender of Certificate of Incorporation for King’s County Photography Club
RESOLVED as a Resolution of the Members of the Society that:
1. The Society is hereby authorized to make an application to the Registrar of Joint Stock Companies for the Province of Nova Scotia for the surrender of its Certificate of Incorporation, and the fixing of a date upon and from which the Society shall be dissolved in accordance with the provisions of Section 26 of the Societies Act (Nova Scotia);
2. That the Secretary be and is hereby authorized and directed to file a printed copy of this Special Resolution, duly certified by the Secretary, with the Registrar of Joint Stock Companies.
The current 2022 Executive has agreed to stay on until the vote has concluded.
